Terms of Service

1. Acceptance of Terms

By creating an account or using the ClipGuild platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users, including brands ("Brands") and video creators ("Clippers").

2. Description of Service

ClipGuild is a two-sided marketplace that enables Brands to create performance-based video campaigns funded in USDC (a US Dollar-pegged stablecoin on the Solana blockchain), and enables Clippers to apply for campaigns, create short-form video content, and receive USDC payouts based on verified performance metrics. ClipGuild does not create content, guarantee specific views, or warrant campaign outcomes.

3. Eligibility

You must be at least 18 years old to use ClipGuild. By creating an account, you represent that you meet this age requirement and that the information you provide is accurate. Brands must have the legal authority to enter into binding contracts on behalf of their organisation.

4. User Accounts

Accounts are authenticated via Clerk. You are responsible for maintaining the security of your account. You may not transfer your account to another party. ClipGuild reserves the right to suspend or terminate accounts that violate these Terms.

Accounts are designated as either Brand or Clipper at sign-up. Role changes require contacting support and are subject to review.

5. Brand Obligations

  • Brands must fund campaigns by depositing the stated USDC budget to the designated ClipGuild treasury address before a campaign is activated.
  • Campaign briefs must be accurate, lawful, and not request content that violates the terms of any platform (TikTok, Instagram, YouTube, X) or applicable law.
  • Brands must not request content that is deceptive, defamatory, discriminatory, sexually explicit, or promotes illegal activity.
  • Campaigns must include a clear disclosure requirement (e.g. "#ad" or "#sponsored") in line with FTC guidelines and applicable national advertising standards.
  • Brands acknowledge that payouts to Clippers are determined by ClipGuild admins based on verified performance metrics and are final.

6. Clipper Obligations

  • Clippers must only submit original content they have the rights to.
  • Clippers must not artificially inflate views, engagement, or any performance metric through bots, purchased traffic, or any fraudulent means. Violations result in immediate disqualification and forfeiture of any pending payouts.
  • Clippers must comply with the terms of service of any platform on which they post campaign content.
  • Clippers must include all required disclosures (e.g. "#ad") as specified in the campaign brief.
  • Clippers must provide a valid Solana wallet address to receive payouts. ClipGuild is not responsible for funds sent to an incorrect address provided by the Clipper.

7. Payments and Payouts

All campaign budgets and payouts are denominated in USDC on the Solana blockchain. ClipGuild does not charge processing fees; Solana network transaction fees (typically less than $0.001) apply.

Payouts are calculated as: min(views ÷ 1,000 × rate, per-clip maximum, remaining campaign budget). Payout rates are set by ClipGuild administrators and are not disclosed to Brands.

Payouts are triggered by a ClipGuild administrator after clip verification and are final. Blockchain transactions are irreversible; ClipGuild cannot reverse or recall completed payouts.

Unused campaign budget may be returned to the Brand's wallet at campaign completion at the sole discretion of ClipGuild administrators.

8. Intellectual Property

Clippers retain copyright in the content they create. By submitting content to a campaign, Clippers grant the Brand a non-exclusive, royalty-free, worldwide licence to repost and promote the content on the Brand's own social media channels, provided the Brand complies with the applicable platform terms.

ClipGuild's platform, trademarks, and software are proprietary to ClipGuild and may not be copied, modified, or distributed without written permission.

9. Prohibited Conduct

You agree not to:

  • Impersonate any person or entity.
  • Use the Service for any unlawful purpose.
  • Attempt to gain unauthorised access to any part of the Service.
  • Introduce malware, spam, or any harmful code.
  • Circumvent any security or access controls.
  • Scrape or harvest data from the platform without express written consent.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. CLIPGUILD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SPECIFIC CAMPAIGN RESULTS WILL BE ACHIEVED. CRYPTOCURRENCY VALUES ARE VOLATILE; CLIPGUILD IS NOT RESPONSIBLE FOR CHANGES IN THE VALUE OF USDC OR ANY OTHER DIGITAL ASSET.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIPGUILD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. IN NO EVENT SHALL CLIPGUILD'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT OF USDC HELD BY CLIPGUILD ON YOUR BEHALF AT THE TIME OF THE CLAIM.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to Terms

ClipGuild may update these Terms from time to time. We will notify users of material changes by posting a notice on the platform or by email. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
